Adam provides general counsel services to his franchise clients in a variety of industries including fast food, quick serve restaurants, health and wellness, retail, pet care, real estate, and more. Adam serves as general counsel to startup and established franchisors. He uses the perspective of being general counsel to franchisors in his zealous advocacy for his franchisee clients in two primary ways. First, Adam represents franchisees involved in legal disputes with their franchisors and regularly represents franchisees in court and arbitration as lead trial counsel. Second, Adam assists prospective franchisees in their due diligence of franchise systems by reviewing franchise disclosure documents (FDDs). Adam preaches due diligence with both his franchisor and franchisee clients.
Adam regularly counsels companies looking to expand through franchising. Adam and his team draft customized FDDs for startup franchise systems and provides consulting services to the startup franchisor until they are ready to sell franchises. Once the system is ready to launch, Adam provides general counsel services including such services as updating the FDD, assisting with franchisee closings, handling dispute resolution, etc. Recently, Adam and his team rolled out the 3 Natives Acai & Juice Bar franchise system and continues to serve that company as general counsel. Adam has prepared FDDs for domestic and international companies inbound from other countries. Another one of Adam’s clients was a franchise company based in Chile which is now set up to grow a franchise system in Florida. Adam and his team are currently working with multiple startup franchisors in a variety of industries.
Franchise litigation makes up a good portion of Adam’s practice but he also serves as lead trial counsel for non-franchise businesses and individuals in state and federal court. Adam litigates trademark disputes involving the Lanham Act, breach of contract actions, Florida Deceptive and Unfair Trade Practices Act violations, Florida Franchise Misrepresentation Act, Florida Sale of Business Opportunities Act, civil theft claims, and more. Prior to founding the firm, Adam was a litigator at one of Florida’s largest law firms.
Adam serves on the management team of startup businesses and provides his clients with relevant governance and structural issues on an as-needed basis. Adam is an entrepreneur, and he understands entrepreneurs and what they need to succeed. Adam gives all of his clients his cell phone number.
Before his legal career, Adam graduated from the University of Florida with a business degree and proceeded to work in the front office of three Minor League Baseball teams in Savannah, New Orleans and Colorado Springs. In law school, Adam was the managing editor of the FIU Law Review and founded the school’s Sports and Entertainment Law Society (SELS). To keep his hand in the sports industry, he has offered his services as general counsel to a startup Front Office Sport which is a multi-media platform that has become a leader in the sports business industry.
Adam grew up in Boca Raton and lives in Boca with his wife and their three boys Sam, Charlie and Alex.
