Joseph C. Wasch is a partner and founder of the firm. A business and franchise attorney licensed to practice law in Florida, Mr. Wasch’s practice concentrates on the areas of corporate transactional law, including business structuring, entity organization and corporate governance, equity and debt financing transactions, acquisitions and sales of businesses, drafting and reviewing software and intellectual property licensing/sale and purchase contracts, franchise law and trademark matters; employment law and HR issues, business litigation, and complex commercial transactions.
In a career spanning over 35 years, Mr. Wasch has been an executive officer and in-house general counsel to six corporations, including franchise companies, involved in such diverse industries as investment banking, healthcare, temporary staffing, real estate, and software development. In those assignments, he advised and counseled senior management and boards of directors on legal risk assessments, strategic initiatives and policies and procedures.
After forming the firm in 2008, Mr. Wasch provided general counsel services to small businesses, emerging and established franchisors, and companies looking to expand through franchising. In that role, Mr. Wasch served as general counsel to the ownership group of Tropical Smoothie and advised the owners through the sale of the majority ownership in the business to private equity. Mr. Wasch’s representative franchisor clients include Miami Subs, Delivery Dudes, 3 Natives, SaladCreations, and Salt Suite. Mr. Wasch also counsels franchisees looking to join an existing franchisee and heads our firm’s commercial leasing practice.
Mr. Wasch is a member of the American Bar Association Forum on Franchising.
